So viewed, the evidence shows that Overdrive, a federally licensed transportation broker, and Edwards Bros., a trucking company, were parties to a brokerage contract, in which Overdrive agreed to "tender a series of shipments to [Edwards Bros.] who agrees to transport the shipments by providing motor vehicles ... designed to meet the distinct needs of [Overdrive] and/or its shipper(s)."Robinson & Harrison Poultry Company, Inc.("Robinson"), contracted with Overdrive to arrange for a load of Robinson's processed chicken to be shipped from Georgia to California.Overdrive retained Edwards Bros. to pick up, transport, and deliver the chicken.

Bright Field Lights provide illumination directly onto an object, at angles above 45 degrees from horizontal, creating distinct shadows. This type of lighting is effective when your use requires high degrees of contrast, but may create unwanted reflections when directed at shiny or reflective materials because of the high angle of incidence. Working distances can be short to very long.

Dark Field Lights provide illumination that is projected at a shallow angle to the imaging surface, 45 degrees or less, which is ideal for edge or defect detection. Dark field illuminators can be dedicated ring lights, or any general bar or spot light oriented at low angles of incidence, depending on defect orientation. Very low angle dark field ring lights must be deployed at close working distances to be effective.

Diffuse lighting is typically provided via a dome which scatters light internally to created a diffused “cloudy day” effect. The softer light reduces the occurrence of harsh lines and shadows, but requires that the light source be close and large for the best results.

Overdrive brought an action against Edwards Bros. and Robinson, jointly and severally, seeking damages against Edwards Bros. for breach of contract, or in the alternative, pursuant to the Carmack Amendment, and against Robinson for fraud, breach of contract, open account, and bad faith.Several motions for summary judgment were filed.2The sole issue in this appeal is the grant of summary judgment to Overdrive on its breach of contract claim against Edwards Bros., the trucking company.

The shipment of chicken was rejected by the consignee in California because the product was delivered above the required temperature.Bill Savage, a broker employed by Robinson, testified by affidavit that the chicken was sold to other buyers at a loss to Robinson of $21,552.97, so Robinson submitted a claim to Edwards Bros. for the loss.Edwards Bros. paid Robinson $16,876.74 for the damage to the shipment.After settling the claim, Savage learned that Edwards Bros. and Overdrive allegedly concealed the fact that the reason that the chicken was delivered above temperature to the consignee was because Edwards Bros.' truck "broke down" en route to California.Because Robinson had not been fully compensated for its loss, it decided to withhold the balance of the loss on the chicken from its July, 2000, payment to Overdrive.

Coaxial Lights provide diffused illumination, generated from an internal source.  The light is then deflected downward onto the imaging plane via a 50% beamsplitter, which also allows light from the object to be collected by the camera above.  Coaxial lighting is deal for imaging highly reflective objects or for when shadows obsure the area of inspection. The goal of coaxial illumination is to apply a sheet of light to the object from above and collect the results of how the light behaves, whether reflected, scattered or absorbed.

Bar Lights, also called Linear Array Lights, offer both bright field and dark field illumination, depending on angle the light array is directed with respect to the object of interest. Advanced Illumination’s bar lights come in a variety of lengths, widths, and wavelengths, and with creative placement, the bar lights can useful for large area illumination, such as when used in opposing pairs or in a picture frame mounting orientation.

Backlighting provides an area of uniform illumination, from behind the object of interest, primarily used to create a part silhouette with definite contrast between dark and light.  Backlighting is most useful for edge detection, part location/orientation or presence/absence, hole detection and object gauging.

In this action, the broker, Overdrive, rather than the shipper, Robinson, is seeking to recover damages from the carrier, Edwards Bros., pursuant to the brokerage contract between Overdrive and Edwards Bros. Overdrive is not seeking damages under the bill of lading, the provisions of which are fixed as the contract under the Carmack Amendment.5Because the Carmack Amendment was enacted to protect the rights of shippers suing under a receipt or bill of lading, not brokers, it does not preempt Overdrive's breach of contract claim in this case.6Accordingly, the dispute between Overdrive and Edwards Bros. is governed by their brokerage contract.
